TERMS AND CONDITIONS OF USE

1. GENERAL AGREEMENT AND ACCEPTANCE Fare Inc., a Delaware Corporation (“Fare,” “Company,” “we,” “us,” or “our”), owns and operates the website located at www.eatfare.com, related mobile applications, and the proprietary Fare inspection and transparency platform (collectively, the “Site” or “Services”). These Terms and Conditions of Use (“Terms”) govern your access to and use of the Services, whether as a guest, a registered consumer customer (“Consumer User”), or an authorized field agent, inspector, or farm partner (“Field Partner”). By accessing, browsing, creating an account, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE AND SERVICES. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time without prior notice. It is your responsibility to check these Terms periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. These Terms constitute the entire agreement between you and Fare regarding the use of the Services, superseding any prior agreements between you and Fare relating to your use of the Site.


2. USE OF SITE AND ELIGIBILITY You represent and warrant that you are at least eighteen (18) years of age or the age of majority in your jurisdiction of residence and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms “User,” “you,” or “your” shall refer to such entity. The Services are not intended for children under the age of 13. You agree to use the Services only for lawful purposes and in accordance with these Terms. You are prohibited from using the Services to: (a) violate any applicable federal, state, local, or international law or regulation; (b) exploit, harm, or attempt to exploit or harm minors in any way; (c) transmit any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; (d) impersonate or attempt to impersonate Fare, a Fare employee, another user, or any other person or entity; or (e) engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Fare or users of the Services or expose them to liability.


3. ACCOUNT SECURITY AND RESPONSIBILITY To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Fare immediately of any unauthorized use of your account or any other breach of security. Fare will not be liable for any loss or damage arising from your failure to comply with these requirements. We reserve the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.


4. TERMS OF SALE AND SUBSCRIPTIONS 4.1 Subscription Mechanics. The Services offer products on a subscription basis (“Subscription”). By signing up for a Subscription, you acknowledge that your Subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. Your Subscription will automatically renew for the selected frequency (e.g., weekly, bimonthly, monthly) and your payment method will be charged automatically at the start of each new period. 4.2 Cancellation Policy. To cancel or modify your Subscription, you must do so before the “Cutoff Time,” which is defined as 11:59 PM Pacific Standard Time on the Wednesday immediately preceding your next scheduled renewal date. Cancellations or modifications received after the Cutoff Time will not take effect until the following subscription period, and you will be responsible for all charges and shipments incurred for the immediate period. You may cancel by logging into your account settings or emailing support@eatfare.com. 4.3 No Free Trials. Fare does not offer free trials. All Subscriptions begin with a paid transaction. 4.4 Pricing and Availability. Prices for products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Service.


5. PERISHABLE GOODS, RETURNS, AND REFUNDS Due to the perishable nature of our products (produce, meat, dairy, etc.), all sales are final. We do not accept returns. In the event you receive a product that is damaged, spoiled, or incorrect, you must contact our customer support team at support@eatfare.com within forty-eight (48) hours of the delivery timestamp provided by the carrier. You must include photographic evidence of the damage or spoilage. Fare reserves the right to determine, in its sole discretion, whether to provide a replacement, store credit, or refund. Failure to notify Fare within the forty-eight (48) hour window constitutes your unqualified acceptance of the products. Fare is not responsible for spoilage or damage resulting from: (a) your failure to retrieve the package in a timely manner; (b) your failure to properly refrigerate the products upon receipt; or (c) theft or damage occurring after the carrier has delivered the package to the address provided.


6. TRANSPARENCY REPORTS AND THIRD-PARTY DATA The Services include the provision of “Transparency Reports” accessible via QR codes affixed to products. These reports may contain data regarding sourcing origin, nutrient density, and test results for pesticides, heavy metals, and other toxins. You acknowledge and agree that: (a) Fare aggregates this data from third-party laboratories and agricultural partners; (b) Fare does not independently verify all test results generated by third-party labs; and (c) Fare makes no representations or warranties regarding the absolute accuracy or completeness of such data. The Transparency Reports are provided for informational purposes only and do not constitute a guarantee of safety or a medical recommendation. You expressly agree that your use of and reliance on any Transparency Report is at your sole risk.


7. INTELLECTUAL PROPERTY RIGHTS The Services and their entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Fare, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 7.1 Trademarks. The Fare name, the Fare logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Fare Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of Fare. 7.2 License to Access. Subject to your compliance with these Terms, Fare grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the Services. This license does not include any resale or commercial use of any Service or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools.


8. SPECIFIC TERMS FOR FIELD PARTNERS (INSPECTORS AND AGENTS) If you are accessing the Services as a Field Partner (Inspector, Field Agent, or Farm Partner), you agree to the following additional terms: 8.1 Data Ownership. You acknowledge that any and all data, photographs, inspection notes, geolocation logs, sample records, and other content you generate, upload, or transmit via the Services (“Inspection Data”) are “works made for hire” to the extent permitted by law, and in any event, you hereby irrevocably assign to Fare all right, title, and interest in and to such Inspection Data. Fare shall be the sole and exclusive owner of all Inspection Data. 8.2 Integrity and Accuracy. You agree to provide truthful, accurate, and complete information regarding all inspections. You shall not manipulate GPS settings, falsify timestamps, or upload fraudulent imagery. Any breach of this provision will result in immediate termination of your account and potential legal liability. 8.3 Geolocation Consent. You expressly consent to the collection of precise geolocation data during your use of the Services for the purpose of verifying the location of inspections and maintaining chain-of-custody records.


9. USER CONTENT AND FEEDBACK You agree that any comments, reviews, feedback, suggestions, ideas, and other submissions disclosed, submitted, or offered to Fare on or by this Site or otherwise disclosed, submitted, or offered in connection with your use of this Site (collectively, “User Content”) shall be and remain Fare’s property. Such disclosure, submission, or offer of any User Content shall constitute an assignment to Fare of all worldwide rights, titles, and interests in all copyrights and other intellectual properties in the User Content. Thus, Fare will own exclusively all such rights, titles, and interests and shall not be limited in any way in its use, commercial or otherwise, of any User Content. Fare is and shall be under no obligation (1) to maintain any User Content in confidence; (2) to pay to user any compensation for any User Content; or (3) to respond to any User Content. You agree that no User Content submitted by you to the Site will violate any right of any third party, including copyright, trademark, privacy, or other personal or proprietary right(s). You further agree that no User Content submitted by you to the Site will be or contain libelous or otherwise unlawful, abusive, or obscene material. You are and shall remain solely responsible for the content of any User Content you make.


10. SMS AND MOBILE MARKETING By entering your mobile phone number during checkout or account creation, you consent to receive recurring automated marketing and informational text messages (e.g., cart reminders, order updates) from Fare at the number provided. Consent is not a condition of any purchase. Message and data rates may apply. Message frequency varies. You can unsubscribe at any time by replying STOP to any message or clicking the unsubscribe link (where available). We use third-party service providers (such as Klaviyo) to facilitate these messages, and by using the Service, you agree to their terms and privacy policies as applicable.


11. DISCLAIMER OF WARRANTIES THE SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS, AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES ARE PROVIDED BY FARE ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. FARE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY LAW, FARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. FARE DOES NOT WARRANT THAT THE SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES, FARE’S SERVERS, OR ELECTRONIC COMMUNICATIONS SENT FROM FARE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.


12. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FARE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


13. INDEMNIFICATION You agree to defend, indemnify, and hold harmless Fare, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services’ content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.


14. DISPUTE RESOLUTION AND ARBITRATION 14.1 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in the State of Delaware before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. 14.2 Class Action Waiver. YOU AND FARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Fare agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims and may not otherwise preside over any form of a representative or class proceeding.


15. GOVERNING LAW AND JURISDICTION All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.


16. MISCELLANEOUS 16.1 Force Majeure. We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage. 16.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. 16.3 Waiver. No waiver by Fare of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Fare to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. 16.4 Contact Information.
